Content License Agreement

• I hereby grant to Cornell University on behalf of the Cornell Lab of Ornithology (“Cornell Lab”) a non-exclusive, worldwide, royalty-free, irrevocable and perpetual license, in all media (print, electronic, or other), to use, distribute, reproduce, modify, adapt, and publicly display any and all photos I submit on the Cornell Lab's institutional websites and social media accounts.
• I warrant that the Photos are my original work and do not infringe on the legal rights of any third party. I understand that I may be contacted by the Lab as part of its effort to obtain written permission from each individual appearing in the Photos allowing use of their image, including written permission from the parent(s) or legal guardian of any child under the age of 18.  
• I agree that I will hold the Licensees harmless from any claims, actions, demands, liabilities, losses, damages, costs, or expenses of any kind (including reasonable attorneys’ fees) arising from a breach of the foregoing warranties. 
• I understand that I am solely responsible for protecting my copyright in the Photos from infringement by a third party; the Licensees are not responsible for pursuing such claims on my behalf.
• The Licensees reserve the right to use/not use and/or dispose of the Photos as deemed appropriate. 
• I represent that I am 18 years old or older and have read and understand the terms of this Agreement. 
• I understand this License shall be interpreted by the laws of the State of New York, regardless of conflicts of laws principles.
